Three investors in One 97 Communications, the parent company of Paytm, are poised to divest up to Rs 2,002 crore (approximately $210 million) through a secondary share sale. The transaction involves selling a base offer of up to 1.49 crore shares, which corresponds to about 2.3% of Paytm’s existing share capital. Notably, this is a complete secondary share sale, ensuring that the company itself will not benefit financially from this move. The block sale comes at a time when the stock has recently experienced a strong rally, a common occurrence preceding large investor exits.

The share sale is spearheaded by Saif Partners India IV, Saif III Mauritius Company, and Elevation Capital V. The floor price for this offering has been set at Rs 1,339.65 per share, representing a 4.99% discount from Paytm’s closing price of Rs 1,410 on August 3. Interestingly, no pricing guidance will be provided until the shares trade on Indian stock exchanges on August 4, underscoring the volatility often associated with such institutional transactions. Morgan Stanley India Company Pvt Ltd has been appointed as the placement agent for the deal, indicating the strategic importance of the offering in facilitating market absorption of this substantial volume of shares.

Prior to this sale, Saif Partners India IV held approximately 3.63% of Paytm’s shares, while Saif III Mauritius Company owned about 8.55%. The specific holding of Elevation Capital V was not disclosed in the term sheet. Post-transaction, these entities will be subject to a 60-day lock-up period, designed to instill temporary stability in the stock after such a significant offloading of shares. The structure of the deal emphasizes a strategic exit for early investors, allowing them to reduce their exposure while providing liquidity opportunities for institutional buyers looking to accumulate shares at scale.
