Swara Baby Files DRHP with Sebi for Ambitious Rs 1,000 Crore IPO.

Swara Baby, recognized as India’s largest contract manufacturer of disposable hygiene products by value for FY25, has filed a Draft Red Herring Prospectus (DRHP) to raise Rs 1,000 crore through an initial public offering (IPO). The offering will comprise a fresh issue of equity shares worth up to Rs 500 crore and an offer for sale (OFS) of an equal value. The OFS will include shares worth up to Rs 300 crore from promoter Brainbees Solutions Limited and an additional Rs 200 crore from Anadya Bon Merchari LLP. The proceeds from the fresh issue are earmarked for establishing a new manufacturing facility in Madhya Pradesh, repaying certain borrowings, and funding subsidiary investments aimed at enhancing the company’s operational capacity.

Swara Baby has shown impressive growth, dominating significant market segments with a reported 37% market share in baby diapers and 36% in adult diapers for FY25. Financially, the company displayed robust growth in FY26, with revenue surging to Rs 1,163.9 crore, up from Rs 942.97 crore in FY25. The company’s growth trajectory suggests a strong operational foundation, supported by an integrated manufacturing approach and a keen focus on innovation, including products like the plant-based “Tree Free” diaper. Moreover, a national warehousing network and a growing consumer base further solidify its market presence.

The grey market sentiment surrounding the IPO has not been explicitly mentioned in the available report; however, the overall outlook for Swara Baby appears optimistic due to its strong financial performance, market leadership, and growth potential in the hygiene sector. As the hygiene products market in India is projected to expand at a 12.7% CAGR, Swara Baby’s entry into the public market could signify a lucrative opportunity for investors looking to tap into a rapidly growing industry. Investors may find assurance in the company’s strategic plans for expansion and innovation as they consider their participation in this IPO.
