Bain Capital-Backed Dhoot Transmission Files Updated DRHP with Sebi, Aiming to Raise ₹1,400 Crores Through IPO Fresh Issue.

Bain Capital-backed Dhoot Transmission Limited has filed its Updated Draft Red Herring Prospectus – 1 (UDRHP – 1) with the Securities and Exchange Board of India (Sebi) for its initial public offering (IPO). The proposed public offer consists of a mix of fresh issue and an offer for sale (OFS), with the fresh issue amounting to up to Rs 1,400 crore, covering equity shares of face value Rs 2 each. The OFS includes shares being sold by the promoter, BC Asia Investments XV Limited, which is offering up to 1,31,91,900 equity shares, along with Mangalam Capital Private Limited’s offering of 31,18,833 equity shares. The financial outlook for the offering appears strong, indicating a keen interest from the market as the company aims to bolster its position in the wiring harness industry.

The proceeds from the IPO are earmarked primarily for repaying outstanding borrowings aggregating to Rs 766.48 crore across various subsidiaries, as well as for setting up new manufacturing plants in Jhajjar and Hosur. The strategic allocation of funds also aims to facilitate unidentified acquisitions and general corporate purposes, showcasing the company’s growth ambitions.
